01Introduction and Acceptance of Terms
These Terms & Conditions (the "Terms") constitute a binding agreement between the Bennahub platform (the "Platform," "Bennahub," or "we") and every user of the Platform, whether a buyer or a supplier (the "User" or "you"). Bennahub is a Saudi business-to-business (B2B) platform specialized in building-material specification, supplier discovery, and RFQ management. It connects professional buyers (real-estate developers, architects, interior designers, contractors, procurement teams, and project owners) with selected suppliers and brands, through structured workflows for product discovery, specification, and the submission of requests for quotation (RFQs).
By using the Platform, creating an account, uploading any file, or submitting any RFQ, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to any part of them, you must stop using the Platform.
The User must be duly authorized to contract on behalf of the entity it represents (company, establishment, or office), and must use the Platform for professional, project-related purposes rather than for individual consumer purposes.
02Definitions
- Platform: The Bennahub website and application and all related digital services.
- Buyer: The User who discovers products, builds specifications, and submits RFQs (developer, architect, designer, contractor, procurement team, project owner, or the like).
- Supplier: The User who presents its products and brand on the Platform and receives and responds to RFQs (brand, manufacturer, distributor, agent).
- Request for Quotation (RFQ): A structured request submitted by the Buyer through the Platform to receive price offers from suitable suppliers.
- Bill of Quantities (BOQ): A file containing a list of items and quantities, uploaded by the Buyer to be converted into a draft RFQ.
- Attributed Opportunity: Any buyer, project, or entity introduced to a supplier through the Platform (via an RFQ, inquiry, introduction, or discovery resulting from exposure on the Platform).
- AI Processing: The use of artificial-intelligence models to help the User read and organize files and text, answer questions about authorized records, and extract or compare BOQ and quote lines, without carrying out an operational action unless the User confirms it.
03Nature and Scope of the Service
Bennahub is a layer for product discovery, specification, RFQ facilitation, opportunity attribution, and follow-up. The Platform is not a seller of products and is not a party to the sale contract between Buyer and Supplier, unless otherwise agreed in writing.
3.1 Role of the Platform
The Platform enables Buyers to discover products and suppliers, organize options within a project specification, compare technical data, and submit structured RFQs. It enables Suppliers to present their products professionally and to receive qualified RFQs. RFQ communications are routed through the Platform to maintain organization, clarity of attribution, and protection of confidentiality.
3.2 What the Platform Does Not Guarantee
The Platform does not guarantee any particular volume of RFQs, inquiries, sales, conversions, project awards, or any minimum commercial value. Listing on the Platform does not, by itself, create a commercial obligation. The Platform is in a phase of ongoing validation and development.
04Accounts and Registration
The User undertakes to provide accurate and correct information upon registration, to maintain the confidentiality of its login credentials, and to bear responsibility for all activity conducted through its account. The Platform may suspend or terminate any account that violates these Terms or is used in a manner harmful to the Platform or its users.
05Buyer Responsibilities
- Providing accurate information about the project and the RFQ, and ensuring that requests are genuine and serious.
- Reviewing all data, price offers, and technical documents before making a purchase decision, and obtaining the necessary approvals.
- Respecting the confidentiality of the Supplier and its offers, and communicating professionally through approved channels.
- Acknowledging that the final terms of a transaction are subject to the direct agreement between Buyer and Supplier.
06Supplier Responsibilities
- Providing accurate information about the company and products, and holding the rights to the images, catalogues, technical files, and trademarks provided.
- Responding to RFQs professionally and in a timely manner, and respecting the confidentiality of the Buyer and the project.
- Not bypassing the Platform in attributed opportunities, and reporting the status of transactions for attributed opportunities as agreed.
- Bearing full responsibility for product quality, pricing, delivery, warranty, compliance, after-sales service, and the final agreement with the Buyer.
07Commissions and Opportunity Attribution
In its current phase, the Platform operates on a success-based commission model: no mandatory joining, registration, or subscription fees are charged at listing. A commission is due only when an opportunity generated through the Platform converts into an actual transaction, and as agreed in writing for each opportunity separately through the "Opportunity Commission Terms" or "Opportunity Confirmation" document.
Listing on the Platform does not, by itself, create any commission obligation. The details of the rate, the base, the protection period, and the entitlement mechanism are determined in the document specific to each opportunity, to which reference is made.
For clarity: these general Terms do not contain any binding commercial obligation regarding commission, its rates, its base, the opportunity protection period, or non-circumvention. Such binding commercial provisions arise only through the "Opportunity Commission Terms" and/or "Opportunity Confirmation" document expressly accepted by the Supplier for each opportunity separately, in addition to the "Supplier Listing Authorization." In the event of any conflict between these general Terms and those documents on a commercial matter, the signed or expressly accepted documents prevail.
08Intellectual Property and Content License
Each party retains its own intellectual property. The Supplier grants Bennahub a non-exclusive, non-transferable, royalty-free, revocable license to use the materials it provides (logos, images, descriptions, catalogues, technical sheets, and certificates) solely for the purpose of operating the Platform. The Supplier remains the owner of all its intellectual-property rights, trademarks, and product data.
The rights to the Platform, its software, design, and trademark remain the property of Bennahub and may not be copied or reused without written permission.
Indemnity for third-party claims
The Supplier represents that it holds all necessary rights in everything it provides — logos, images, catalogues, descriptions, technical sheets, certificates, and trademarks — and that Bennahub's use of them for operating the Platform does not infringe the rights of any third party. The Supplier undertakes to indemnify and hold Bennahub harmless from any loss, damage, claim, or action brought by a third party on account of an alleged infringement of intellectual-property, trademark, or copyright rights arising from the materials provided by the Supplier, including reasonable legal costs and fees. Bennahub shall notify the Supplier of any such claim within a reasonable period, the parties shall cooperate in its defense, and Bennahub may remove or suspend any allegedly infringing content without liability on its part.
09Confidentiality and Data Protection
Bennahub is committed to protecting users' data and processing it in accordance with the Personal Data Protection Law of the Kingdom of Saudi Arabia (PDPL) and its related regulations. Supplier and buyer data is used solely for the purpose of operating the Platform.
9.1 Use and Access
- Data within the Platform is used for Platform purposes only and is not shared with any external or related party outside Bennahub's workflow.
- Access to data is role-based and is applied with particular care in any overlapping product category.
- The Platform preserves the confidentiality of project information, RFQs, prices, and product-interest signals.
9.2 Data Retention
The User retains the right to request the amendment or deletion of its data in accordance with the law. The Platform may retain internal records necessary for RFQ history, attribution, auditing, and legal and accounting requirements.
10Use of Artificial Intelligence
Bennahub may use optional AI processing to help the User read BOQ and quote files and need descriptions, and to answer questions about authorized records on the Platform. The current provider of that processing is OpenAI, and the processing takes place outside the Kingdom. Details are in the Privacy Policy.
10.1 When It Is Used
File extraction is used when ordinary automated reading is insufficient, and only after recorded consent. The assistant and quote extract/compare also run only after recorded consent. Text structuring does not require a separate recorded consent; the Privacy Policy and these Terms are its notice. None of them is required to use the rest of the Platform.
10.2 Redaction of Contact Data Before Transmission
Before any content is sent to the AI service provider, visible contact data (email addresses, phone numbers in both Arabic and Western numerals, and links) is redacted from the transmitted copy where the redaction contract applies. The original data remains in Bennahub’s systems.
10.3 Human Review
Any extracted or suggested result is presented to the User for review. The assistant does not send an RFQ, submit a quote, award, or reveal contacts without the User’s confirmation. Responsibility for checking accuracy before approval rests with the User.
11Prohibited Use
- Providing false or misleading information, or impersonating another entity.
- Bypassing the Platform in attributed opportunities with the intent to evade the agreed commission.
- Uploading content to which the User does not hold the rights, or which infringes the rights of others.
- Attempting unauthorized access to the Platform's systems or to other users' data, or harming the service.
12Disclaimer and Limitation of Liability
The Platform is provided "as is." Bennahub bears no responsibility for product quality, the accuracy of price offers, delivery, warranty, compliance, or any commercial dispute between Buyer and Supplier, as these rest directly with the two contracting parties. The Platform does not warrant that the service will be free of interruption or error, and it endeavors to address such matters within reason.
To the extent permitted by applicable laws: Bennahub bears no liability for indirect, consequential, or incidental damages, nor for loss of profit, loss of a commercial opportunity, or loss of data, files, or reputation, whether arising from the use of the Platform, the inability to use it, or an error in processing an RFQ or a BOQ. Bennahub's total aggregate liability to any User — whatever its cause — shall not exceed fifty percent (50%) of the total commissions actually collected by Bennahub from that User during the twelve (12) months preceding the claim.
The above limitations and exclusions of liability shall not apply to: (a) fraud or misrepresentation; (b) gross negligence or willful misconduct; (c) breach of confidentiality and data-protection obligations; (d) death or personal injury arising from negligence; or (e) any liability that may not, under the laws of the Kingdom of Saudi Arabia, be excluded or limited.
13Suspension and Termination
Either party may terminate its use of the Platform by written notice. Upon termination, the Platform removes active public listings within a reasonable period, and it may retain the internal records necessary for RFQ history, attribution, auditing, and legal and accounting requirements. Any terms specific to an agreed opportunity remain in force for their duration.
14Amendment of the Terms
Bennahub may update these Terms from time to time. The updated version is published on the Platform, and continued use after publication is deemed acceptance of the amendments. The User is advised to review the Terms periodically.
15No Partnership or Agency
These Terms do not create any partnership, joint venture, franchise, exclusive agency, employment, or distribution relationship. Each party remains responsible for its own independent obligations.
16Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties shall seek to resolve any dispute amicably by reference to the documented record on the Platform (the RFQ, the introduction, the communication history, and transaction evidence). Failing that, the dispute shall be referred to the competent judicial authority in Riyadh.
